Value Proposition

ZATS Trading Platform is a global community of trading counterparties in our targeted products and services providing an infrastructure in which to optimize and support investment and trading strategies for participants and we view ourselves as a trusted business partner to our members.

We believe that, by using ZATS Trading Platform, market participants can achieve price improvement over the current execution and trade settlement processes. Electronic trade execution for the restricted and illiquid securities offers cost efficiencies by providing firm posted prices and reducing back office overhead, and allows us to accelerate the introduction of new products on our platform. The combination of electronic trade execution and integrated trading and market data services facilitates all phases of trade execution and processing from front-office to back-office, from trading and risk management to settlement.

By automating the transaction process by which restricted or illiquid securities trade, we believe that ZATS Trading Platform will experience mass adoption amongst current participants and thus dramatically increasing liquidity opening the asset class to an entirely new group of investors who previously would not consider the class as a viable investment sector because of the illiquid, document intensive, and closed nature of the securities. Our goal is to have ZATS Trading Platform on the desktop of every investment professional worldwide.

Management Team

At Zealous ATS we have put together a management team which consists of seasoned professionals from the fields of investment banking, alternative asset management, electronic trading systems and private equity.

Our team has extensive experience in operating, acquiring and selling private and public companies as well as the development and operation of Alternative Trading Systems for niche markets. This includes the founding and operation of NYPPE (The New York Private Placement Exchange), the first alternative trading system for limited partnership interests and secondary private equity transactions.

Todd Ault, President and CEO

Todd Ault is the Company's President and CEO of Zealous Trading Group and ZATS Co-Founder. Mr. Ault has been in the investment banking and asset management industry for over 16 years, and started with Dean Witter Reynolds Inc, then went to Prudential Securities Inc.

Mr. Ault worked with Strome Susskind, L.P. a $1.2 Billion hedge fund from 07/98 - 6/05 in portfolio management. While at Strome, Mr. Ault worked on several activism campaigns including Taco Cabana, Jack In The Box (formerly Foodmaker) and 21st Century Holdings Co.

Through his activism experience, Mr. Ault acquired AMEX listed Franklin Capital, a (business development company (BDC). Mr. Ault became CEO of Franklin Capital and restructured it from a BDC to successful medical device company called Patient Safety Technologies, Inc. (OTCBB: PSTX). Mr. Ault was also an early investor and strategic partner of NYPPE.

Sothi Thillairajah, COO and CFO

Sothi Thillairajah is the COO and CFO for Zealous Trading Group. Sothi brings over 11 years of experience both as an officer of publicly traded microcap companies, as well as an institutional equity salesman.

From 1999-2005 Mr. Thillairajah worked in institutional equity and equity derivative sales covering hedge funds for Nomura Securities, Bankers Trust, Commerzbank, and SG Cowen.

From 2005-2007 he served as COO and CFO for microcap public companies IPEX International telecom and Tatonka Energy. Mr. Thillairajah has a BA Cum Laude from the University of Rochester, and an MBA from The University of Chicago.

Michael J. Van Patten, Co-Founder ZATS / Director of Business Development

Michael J. Van Patten is the director of business development and ZATS Co-Founder and manages the New York City operations. Mr. Van Patten has vast experience and knowledge of the capital markets and alternative trading systems.

Mr. Van Patten has been in the investment banking and asset management industry for over 20 years. In 1991, he co-founded Concord Investment Counsel, a West Coast asset management firm, where he co-managed the firm's debt and equity portfolios. Mr. Van Patten later joined Bear Stearns & Co, Inc. in New York in 1994, where he specialized in trading high-yield corporate and emerging market debt.

In 1998, Mr. Van Patten was a co-founder and Managing Director in charge of sales and trading for NYPPE, where he lead the development of the first alternative trading system specializing in the electronic trading of limited partnership interests and private securities. NYPPE also provided specialized research and valuation services to holders of private securities.

NYPPE has been instrumental in providing liquidity to the secondary market for limited partnership interests and private equity and was the first ATS to receive a private letter ruling from the IRS regarding its transfer processes. Clients included investment banks, private equity funds, LBO funds, pension funds, venture capital funds and accredited individuals. Mr. Van Patten possesses the following NASD securities licenses, series 7, 24, 55, 63.

Arnold Spangler, Vice Chairman

Arnold E. Spangler is the Vice Chairman of Zealous Trading Group with over thirty years experience as a successful private equity investor and investment banker. Until recently, he was Managing Director of Mancuso & Co.; a New York- based merchant bank and private equity firm. 

Previously, as a partner at Lazard Freres & Co. and subsequently as head of global M&A for Paine Webber, Mr. Spangler was responsible for managing hundreds of M&A, IPO and other equity financing transactions.

Mr. Spangler has served on the boards of numerous companies including Life Fitness Co., Sports Holding Corp., Wayne-Tex Inc., Hedwin Corp., and publicly traded, healthcare distribution company, Syncor International Corp., which was ultimately merged into Cardinal Health. Mr. Spangler currently serves as the Chairman of the Board for Patient Safety Technologies.

Mr. Spangler received his MBA from Harvard Business School and BS in Economics from Iowa State University.

Careers

ZATS is working to transform the way alternative investment participants buy and sell and distribute restricted and illiquid securities worldwide. We continue to look for professionals to fill a broad range of positions within our New York City office. We are seeking high-quality, innovative individuals with credible capital markets experience and an entrepreneurial orientation, particularly in the areas of sales, trading, client service, and back office and technical support. Below are details of the current positions that ZATS is actively seeking to fill.

Institutional Sales

ZATS institutional sales professionals or ZATS Account Managers (ZAM’s) serve as the external face of the company to our member community. They are our customers’ primary point of contact, and must be fully versed in understanding the ZATS trading system, the ever-changing trends in the institutional trading industry, the alternative investment marketplace, and be able to articulate how these areas fit together to the ZATS Member base. ZAM’s also act as the liaison between the member and the ZATS trading support team, and can immediately troubleshoot customer issues as they arise.

ZAM’s will be given responsibility for covering specific member account groups and possess the ability to learn and identify distinct unique member requirements and trading styles and strategies practiced at various institutions in order to effectively communicate and demonstrate ZATS role within the members trading strategy. ZAM’s must be comfortable talking to junior traders, portfolio managers, and senior management of our members and must be able to articulate a compelling vision for using ZATS products and services. ZAM’s must be able to effectively operate on a team and aggressively manage their time.

ZAM’s must be able to develop strong, long-term relationships with customers by serving as a value-added resource by keeping members aware of specific offerings and opportunities based upon the members investing profile. ZAM’s will be assigned an existing account base and will be tasked with increasing revenues across all products. He/she will be held accountable for meeting or exceeding growth and revenue targets and for turning around underperforming accounts.

Strong, succinct communication and writing skills are essential and proven organization skills will make the job much easier. Additional requirements are proven presentation abilities and prior experience with ZATS products. Client visits may include new product pitching, strategy meetings, systems demos and training, and entertainment.

Sales Traders

ZATS Sales Traders serve as our members trading desk point of contact and are experienced trade executions specialists with in-depth knowledge of the special needs of ZATS members as it relates to trade execution and strategy. ZST’s provide direct execution coverage and interact with both our members and ZAM’s to provide users with high level trading desk support and have an understanding of the complexity and uniqueness of the illiquid securities traded on ZATS platform helping members with the market color and insights needed to successfully execute transactions with maximum anonymity and minimal market impact. ZST’s must have prior experience working on a trading desk for either the buy or sell-side with knowledge of the different electronic order execution methods.

Trade Support Specialist

The Trade Support Specialist (TSS) provides the first line response to customer website and system functionality questions and issues including membership, listing, ZATS platform. The TSS records all queries in our customer tracking system, if there are specific capital markets or product questions the client is referred to the appropriate ZAM. The TSS must learn ZATS trading system functionality and back office support to effectively communicate with customers and bring resolution to most customer queries.

The TSS also communicates with the technology staff and the ZAM to assist with new users and resolving customer issues on an ongoing basis. The TSS will provide training on the ZATS website to new users which include basic trading platform functionality, and specific trading information related to our products and services.
